Window¡¯s Orientation


Approved by Shanghai Municipal Government, International M&A Service Window which is established in SUAEE is a market platform of foreign investors who take up the M&A and Restructuring of the companies in Shanghai. This window also provides foreign M&A investors who purchase various kinds of property rights of Chinese enterprises with legal, convenient and professional services.

Service Function


1¡¢Receive and handle foreign M&A applications by warrant, organize project recommendation, promotion, matching and negotiation in order to promote transactions.

2¡¢Investigate the qualification, credit, operating status and financial position of foreign investors who have shown intent of acquisition.

3¡¢Provide integrated services to both sides of the M&A, including, without limitation, investing scheme, policy consultation, transaction through factor or agent, organization of audit and evaluation by relevant organizations, and assistance of fulfilling formalities submitted to government for examination and approval and changed in business registration.

Business Scope


1.Purchase of property rights or reinvestment of state-owned enterprises in Shanghai by foreign investors.

2.State-owned property rights transactions of sino-foreign joint ventures (and sino-foreign cooperative enterprises)

3.Foundation of new companies with foreign investors by enterprises who invest with state-owned assets and equity.

4.Other investment services relevant to foreign M&A.

Basic Transaction Flow of International M&A Service Window


 

The following major literature should be submitted (including, without limitation).


I Literature submitted to assets and equity exchange market

  • State-owned enterprise as the buyer (or the transfer)
  • Approval of the buyer rights replaced, buying(transferring) resolution of the board of directors or shareholder meeting;

2.Copies of business license;

3.Copies of verification report;

4.Copies of company's articles of association;

5.Copies of tax registration;

6.Assets evaluation reports and approval (or record-

keeping) documents;

7. Copies of property registration of state-owned assets;

8.Other necessary related documents.

  • Foreign investors

1.Resolution of the board of directors;

2.Business license;

3.Identity documents of foreign investors and

credibility Letter;

4.Other necessary related documents.

II Literature submitted to Shanghai administration of foreign investment

The necessary documents: assets and equity contract (including annex) and transaction certificate

Complementary documents:

1.Application report of M&A projects;

2.Contract, articles of association and annex of

foreign-funded enterprise founded after M&A;

  • Business license of the target state-owned

enterprise and the investor;

4.Description of the target state-owned enterprise and the investor;

5.Others documents needed.

III Literature submitted to Shanghai

Administration of Industry and Commerce

1) The followingdocuments should be submitted when the target transfers domestic assets to foreign at the former registration authority.

The necessary documents: assets and equity contract (including annex) and transaction certificate

Complementary documents:

  • Application of Alteration Register of Enterprise

Legal Person;

2.Application report;

3.Authority of Shanghai Administration of Foreign Investment;

4.Original and copy of business license, IC card;

5.Others documents needed.

2) The following documents should be submitted when the target register the change with the foreign investment registration authority.

The necessary documents: assets and equity contract (including annex) and transaction certificate

Complementary documents:

  • Application of Alteration (Record-keeping)

Register of Foreign Investment Enterprise;

2.Approval of Alteration of Enterprise Name (name never altered excluded);

3.Approval of Shanghai Administration of Foreign Investment and approval certificate;

4.Documents of tenure of office of the board of directors;

5.Copy of identity certificate of the board of directors;

6.Certificate for use right of habitation, produce and operation sites(certificate of real estate, certificate for land use right or lease contract of more than one year lease term);

7.Others documents needed.
